These Terms of Service (the “Terms”) are a binding agreement between you and the operator of GoPlayHQ concerning the GoPlayHQ websites, applications, and related services (the “Services”). By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility and accounts
You must be at least 18 years old and able to enter into a binding contract to create an account or submit a quote or booking request. If you use the Services for a company or other organization, you represent that you have authority to bind that organization to these Terms.
You must provide accurate information, keep your account information current, protect your credentials, and promptly tell us about suspected unauthorized access. You are responsible for activity under your account. You may use Google Sign-In or another third-party login method; your use of that provider is also subject to its terms.
2. GoPlayHQ's marketplace role
GoPlayHQ helps people discover, compare, organize, and contact venues and helps venues present their businesses and respond to potential customers. Unless we explicitly state otherwise for a particular transaction, GoPlayHQ does not own, operate, control, inspect, or endorse listed venues and is not a party to an agreement between a user and a venue.
Venue descriptions, prices, availability, policies, accessibility information, safety information, reviews, and other listing content may be supplied by venue operators or third-party sources and may change. Although we work to keep information useful, you must confirm material details directly with the venue before relying on them or making plans.
3. Quotes, bookings, and venue terms
A quote request, booking request, phone click, or outbound link does not guarantee availability, price, acceptance, or a completed transaction. A venue may contact you directly and may require a deposit, waiver, separate agreement, or additional information.
The venue's own terms govern its services, including payment, cancellation, refunds, rescheduling, age or height limits, accessibility, supervision, safety rules, alcohol service, and assumption of risk. Review those terms before committing to an event. Unless a checkout page expressly says that GoPlayHQ is processing a payment, payments occur outside the Services and must be resolved with the venue or payment provider.
4. User and business content
You retain ownership of content you submit, such as reviews, list descriptions, venue information, images, responses, and messages (“User Content”). You grant GoPlayHQ a worldwide, non-exclusive, royalty-free license to host, store, reproduce, adapt, publish, display, and distribute User Content as reasonably necessary to operate, promote, and improve the Services. This license ends when the content is deleted from our systems, except for content others have shared or relied on and reasonable backup, legal, and archival copies.
You represent that you have the rights needed to submit User Content and that it is accurate to the best of your knowledge, lawful, and does not infringe another person's rights. We may edit listing content for clarity and formatting, label content, decline to publish it, or remove it when we reasonably believe it violates these Terms or may harm users or the Services.
5. Acceptable use
You may not:
- use the Services for unlawful, fraudulent, deceptive, or harmful activity;
- impersonate another person or misrepresent a venue, organization, or affiliation;
- submit false reviews, fabricated requests, spam, or malicious content;
- harass others or publish private, infringing, discriminatory, or abusive material;
- interfere with security or operation, introduce malware, probe for vulnerabilities, evade access controls, or overload the Services;
- scrape, copy, or use automated means to access the Services except as permitted by us, by applicable law, or by our published crawler instructions; or
- use the Services or their content to build a competing database or service.
6. Intellectual property
The Services, including their software, design, branding, and content created by GoPlayHQ, are owned by GoPlayHQ or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for their intended purposes. No other rights are granted.
Venue names, logos, photos, and other third-party materials belong to their respective owners. References to a venue do not imply endorsement or affiliation. If you believe content on the Services infringes your rights, contact [email protected] with enough information for us to investigate.
7. Third-party services
The Services may link to or interoperate with venue websites, booking platforms, maps, authentication providers, payment providers, and other third-party services. We do not control and are not responsible for their content, availability, security, policies, or practices. Your use of them is governed by their own terms.
8. Disclaimers and limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” GOPLAYHQ DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SAFETY.
YOU ARE RESPONSIBLE FOR EVALUATING A VENUE AND ITS RULES, SUITABILITY, ACCESSIBILITY, SUPERVISION, AND SAFETY. GOPLAYHQ IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF A VENUE, USER, OR OTHER THIRD PARTY, OR FOR INJURY, LOSS, CANCELLATION, PROPERTY DAMAGE, OR DISPUTES ARISING FROM A VENUE VISIT OR THIRD-PARTY TRANSACTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOPLAYHQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL. GOPLAYHQ'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID DIRECTLY TO GOPLAYHQ FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain exclusions or limits, so portions of this section may not apply to you.
9. Indemnity
To the extent permitted by law, you will defend, indemnify, and hold harmless GoPlayHQ and its affiliates, officers, employees, and agents from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your misuse of the Services, your violation of these Terms, or your violation of another person's rights. This obligation does not apply to the extent a claim results from GoPlayHQ's own unlawful conduct.
10. Suspension and termination
You may stop using the Services at any time. We may suspend or terminate access, remove content, or take protective action if we reasonably believe you violated these Terms, created risk or legal exposure, or threatened the security or integrity of the Services. We may also modify or discontinue all or part of the Services. Provisions that by their nature should survive termination will survive.
11. General terms and contact
We may update these Terms as the Services change. We will post the revised Terms and update the effective date; material changes may receive additional notice. Continued use after revised Terms take effect means you accept them.
If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets. These Terms are the entire agreement between you and GoPlayHQ regarding the Services, except for any additional terms we expressly present for a particular feature.
